Zoorya ERP SaaS – Terms and Conditions
1. INTRODUCTION
These Terms and Conditions (“Terms”) govern your use of Zoorya ERP cloud services, including hardware provision, software subscriptions, and support services provided by ETTA Solution P.L.C. (“Service Provider,” “we,” “our,” or “us”) to you (“Client,” “you,” or “your”). By using our services, you agree to be bound by these Terms and all applicable laws, including fiscal compliance regulations issued by the Ethiopian Revenue and Customs Authority (ERCA).
2. SERVICE OVERVIEW
We provide a suite of cloud-based ERP services (“Zoorya ERP”), along with ERCA-compliant fiscal hardware and technical support. Our offerings are structured into multiple packages tailored to business needs:
- Zoorya Lite: ETB 3,900/month (min. 5 users)
- Zoorya Advanced: ETB 6,500/month (10 users)
- Zoorya Pro: ETB 11,000/month (15 users, available June 2025)
3. INCLUDED MODULES
Depending on your chosen package, services may include modules such as:
- POS (ERCA-certified), Sales, Inventory, Purchase, Invoice, CRM, Accounting, Manufacturing, HR, BI & Analytics, and others.
A mandatory Success Pack is required for onboarding and initial training unless explicitly waived in writing.
4. HARDWARE SERVICES
We supply ERCA-approved hardware (e.g., Sunmi P3Mix, barcode scanners, cash drawers) with a 1-year warranty for manufacturing defects. Repairs outside the warranty or due to misuse are chargeable.
5. CLIENT RESPONSIBILITIES
As a subscriber, you agree to:
- Use the services in compliance with provided guidelines.
- Maintain secure user access controls.
- Report technical issues within 24 hours of discovery.
- Ensure your team is trained to use the system properly.
- Pay all subscription, support, and hardware-related fees on time.
6. PAYMENT TERMS
- Hardware Fees: Payable upfront upon invoice.
- Subscription Fees: Annually in advance.
- Success Pack: ETB 8,000 upfront.
- Annual Printer Service Fee: ETB 3,000 + VAT per printer.
Late payments incur a 2% monthly penalty as per Ethiopian Civil Code Art. 1806.
BNPL (Buy Now, Pay Later) financing is available via Dashen Bank. We may assist with initiating the process, but final arrangements are the client’s responsibility.
7. WARRANTY & SUPPORT
Coverage: 1-year warranty for manufacturer defects.
Exclusions: Misuse, accidents, electrical surges, unauthorized software changes, and viruses.
Support Response Time: Within 2 business days, depending on parts availability.
Post-Warranty: Paid maintenance is available based on current service rates.
8. TERM AND TERMINATION
Subscriptions are valid for one (1) year and auto-renew annually unless cancelled in writing 90 days before renewal.
Either party may terminate for cause (e.g., non-compliance, fraud, cybersecurity threats) with immediate effect.
9. DATA & COMPLIANCE
You agree to:
- Retain transaction records for at least five (5) years (Proclamation No. 983/2016).
- Use the system in accordance with ERCA and data protection laws (e.g., Proclamation No. 1207/2020).
We are committed to ensuring service compliance with all relevant Ethiopian laws and ERCA requirements.
10. LIMITATION OF LIABILITY
We are not liable for:
- Indirect, incidental, or consequential damages.
- Damages exceeding the total fees you paid in the previous 12 months.
11. FORCE MAJEURE
Neither party shall be held liable for failure or delay in performance due to causes beyond their reasonable control (e.g., natural disasters, government restrictions), as defined under Ethiopian Civil Code Arts. 1792–1794.
12. DISPUTE RESOLUTION
Disputes should be resolved amicably through good-faith negotiations. If unresolved:
- Mediation: Addis Ababa Chamber of Commerce (Proclamation No. 1237/2021).
- Jurisdiction: Federal High Court of Addis Ababa under Ethiopian law.
13. CONFIDENTIALITY
All information exchanged under these Terms shall be treated as confidential and protected under applicable Ethiopian data protection laws.
14. MODIFICATIONS
We reserve the right to modify these Terms. Material changes will be communicated to you. Continued use of our services after changes implies acceptance.
15. ENTIRE AGREEMENT
These Terms, along with any related quotations or written agreements, constitute the entire agreement between the Client and the Service Provider and override all previous communications.
